Terms of Use & Data License

These Terms of Use and Data License Agreement (the “Terms”) govern your access to and use of the QAlpha platform, website, APIs, and all data, analytics, signals, reports, and other outputs made available through them (collectively, the “Service” and the “Data”). By creating an account, subscribing, or otherwise accessing the Service, you agree to these Terms on behalf of yourself and the organization you represent (“you”). If you do not agree, do not access or use the Service.
1. Eligibility & accounts
The Service is intended solely for investment and business professionals for internal research purposes. You must provide accurate account information and are responsible for all activity under your account. Each subscription is licensed to a single named user per seat. You may not share, transfer, or allow any other person to use your credentials or seat. Enterprise plans are licensed to the number of named seats purchased.
2. Limited license
Subject to your compliance with these Terms and payment of applicable fees, QAlpha grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service and the Data solely for your own internal business and investment-research purposes. All rights not expressly granted are reserved. No ownership of the Service or Data is transferred to you.
3. Restrictions — no redistribution, copying, or disclosure
You will not, and will not permit or enable any third party to:
- Redistribute. Sell, resell, license, sublicense, rent, lease, syndicate, publish, broadcast, post publicly, or otherwise distribute, transfer, or make available the Data or any part of it, or any report, screenshot, export, or derivative work based on it, to any third party.
- Copy or extract in bulk. Scrape, crawl, spider, harvest, bulk-download, or use any automated means to extract or copy the Data beyond the incidental copying necessary for your own permitted internal analysis; or reproduce the Data in any database, product, or service.
- Share access. Share, disclose, or provide access to your account, credentials, seat, or the Service to anyone other than the named authorized user.
- Build competing or derivative products. Use the Data or Service to create, train, benchmark, or improve any product, dataset, model, index, or service that competes with QAlpha, or to reconstruct any portion of the underlying data.
- Reverse engineer. Decompile, disassemble, reverse engineer, or attempt to derive the source, structure, or methodology of the Service or Data, except to the limited extent applicable law expressly permits.
- Remove notices. Remove, obscure, or alter any proprietary, attribution, or confidentiality notices.
- Circumvent safeguards. Bypass or attempt to bypass any access control, rate limit, watermark, usage monitoring, or other technical or contractual protection.
4. Confidentiality
The Data, the Service, and their organization, methodology, and outputs are the confidential and proprietary information of QAlpha and its licensors. You will:
- hold the Data and Service in strict confidence and protect them using at least the same degree of care you use for your own most sensitive confidential information (and no less than a reasonable degree of care);
- use the Data and Service only for the permitted purpose in Section 2 and disclose them to no third party; and
- limit internal access to the individual named authorized user(s), each of whom is bound by confidentiality obligations at least as protective as these Terms.
Outputs you legitimately generate for your own internal investment decisions (e.g., a conclusion you reach) may be used internally, provided you do not disclose, attribute, or reproduce the underlying Data to any third party. These confidentiality obligations survive termination.
5. Ownership & intellectual property
As between the parties, QAlpha and its licensors own and retain all right, title, and interest in and to the Service, the Data, all compilations and derivative works, and all associated intellectual property. The Data is a proprietary compilation protected by applicable intellectual-property and other laws.
6. Nature of the Data; no warranty; not advice
The Data is derived and inferred from publicly available and third-party sources (including job postings and observable signals) using statistical and machine-learning methods. It is estimated and probabilistic, may be incomplete or inaccurate, and is provided “AS IS” and “AS AVAILABLE” without warranty of any kind, express or implied, including accuracy, completeness, merchantability, or fitness for a particular purpose. The Data is not investment, financial, legal, tax, or accounting advice, and is not a recommendation to buy, sell, or hold any security. You are solely responsible for your own decisions and for independently verifying any information before relying on it.
7. Compliance & lawful use
You represent and warrant that you will use the Service and Data in compliance with all applicable laws and regulations, including securities laws and market-conduct rules. The Data is compiled from public sources and is not intended to constitute material non-public information; nonetheless, you are responsible for ensuring your use complies with your own legal and compliance obligations.
8. Usage monitoring & audit
We may monitor and log access and usage of the Service to operate it, enforce these Terms, and detect misuse. We may suspend or restrict access immediately if we reasonably suspect a breach, unauthorized sharing, or a security risk. Upon reasonable request, you will certify your compliance with these Terms.
9. Fees & subscription
Access requires a paid subscription at the rates presented at sign-up (currently $2,500 per user per year for the Professional plan; Enterprise pricing on request). Fees are non-refundable except as required by law. Subscriptions may renew per the terms presented at checkout; billing terms will be provided at that time.
10. Term, termination & effect
These Terms apply for as long as you access the Service. We may suspend or terminate your access immediately for any breach of Sections 3 or 4 or non-payment. Upon termination, your license ends and you must cease all use of the Service and Data and, at our request, delete or destroy any copies of the Data in your possession or control. Sections 3–7 and 10–13 survive termination.
11. Remedies
You acknowledge that any breach of the redistribution, copying, access, or confidentiality restrictions would cause QAlpha irreparable harm for which monetary damages would be an inadequate remedy. Accordingly, QAlpha is entitled to seek injunctive and equitable relief (without the need to post bond) in addition to any other remedies available at law or in equity, and to recover its reasonable enforcement costs.
12. Limitation of liability & indemnification
To the maximum extent permitted by law, QAlpha will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits or trading losses, arising out of or relating to the Service or Data, and its aggregate liability will not exceed the fees you paid in the twelve months preceding the claim. You will indemnify and hold QAlpha harmless from claims arising out of your use of the Service or Data in violation of these Terms or applicable law.
13. General
We may update these Terms from time to time; material changes will be posted here with a new “Last updated” date, and your continued use constitutes acceptance. If any provision is held unenforceable, the remainder stays in effect. The governing law and venue will be as set out in your order or, absent that, the jurisdiction of QAlpha’s principal place of business. Questions: info@qalpha.ai.
